“MedPrep”, “We”, and “Us” refer to MedPrep International Inc. “GAMSAT” refers to the Graduate Australian Medical School Admission Test. “Virtual Live GAMSAT Course” refers to MedPrep International’s 2008 Virtual Live GAMSAT Preparation Course. “Virtual Live Interview Course” refers to MedPrep International’s 2008 Virtual Live Interview Preparation Course. “Home-Study GAMSAT Course” refers to MedPrep International’s 2007 Home-Study GAMSAT Preparation Course. “Virtual Live Course(s)” refers to both MedPrep International’s 2008 Virtual Live GAMSAT Preparation Course and MedPrep International’s 2008 Virtual Live Interview Preparation Course. “You” and “Your” refer to the customer who intends, by accepting the terms and conditions of this Agreement, to use MedPrep’s online or paper-based products or services (works, materials, courses, and publications). “Business Days” refer to Monday, Tuesday, Wednesday, Thursday, and Friday, and include public holidays.

MedPrep’s products and services are intended for bona fide pre-medical students who will use the materials and methods, therein, for the sole purposes of preparing for the GAMSAT and medical school entrance interview. Virtual Live and Home-Study Course materials, online or paper-based, are protected by copyright, and any duplication, reproduction, translation, distribution, sale, re-sale, auction, loan or transfer of these materials or disclosure, verbal or written, of proprietary course methods to any third parties is prohibited without prior written consent of MedPrep either during or following your enrollment or purchase. Violation of this agreement is harmful to MedPrep, unfair to all fee-paying customers, and may subject you to termination of your enrollment, civil penalties and even the possibility of criminal prosecution. Computerized, photographic, electronic or mechanical audio, visual or audiovisual recording or decompiling or reverse engineering of MedPrep’s Virtual Live Courses is specifically prohibited. All course related written work, evaluations, testimonials, or other creative submissions, developed by customers during MedPrep’s Virtual Live and Home-Study Courses, are the property of MedPrep and maybe used for research, development, promotional and/or pedagogical purposes, thereafter.

MedPrep has made every effort to ensure that the information contained in its products and provided by its services is accurate and will not be held liable for any inaccuracy, mistake, amendment or omission. While every effort is made by MedPrep to ensure that information covered in its courses is compatible with, and relevant to, the GAMSAT and medical school entrance interview, respectively, no guarantee can be made that all topics ultimately examined will be covered by MedPrep, or vice versa.

MedPrep only accepts enrolments and purchases from residents of countries listed on the 'Course Fees' pages of the MedPrep website. MedPrep does not accept enrolments or purchases from residents of Canada, the United States of America or other unlisted countries.

For MedPrep's purposes, country of residence refers to the country associated with the billing address of the credit card that you nominate during the enrolment and purchase process. The country associated with the postal address that you nominate during the enrolment and purchase process must match the country associated with the billing address of the credit card with which you make payment of applicable fees. If not, your corresponding enrolment/purchase will be declined and your payment will be refunded within 14 days subject to an administrative fee that may be levied by MedPrep’s credit card merchant services provider and deducted from your refund.

Upon receipt of applicable fees and validation of payment, Virtual Live Course enrolments and Home-Study Course purchases will be processed without delay subject to availability. Your full payment will not be deposited unless Home-Study Course materials are in production or Virtual Live Course places are available or anticipated. Your enrolment period for the Virtual Live GAMSAT Preparation Course(s) and Virtual Live Interview Preparation Course will commence immediately upon your valid completion of payment and shall be independent of your time of first login.

MedPrep arranges delivery of Home-Study Course materials to your nominated postal address via its designated postal service(s) and/or courier(s), whether within or outside Australia (excluding Canada and U.S.A.). You shall pay all applicable postage, handling and credit card processing costs, including returns. MedPrep will not be held responsible for any unavailability of Virtual Live Course or Home-Study Course components, online or paper-based, from suppliers or late shipments (if applicable) and shall not be held liable for failure to produce or deliver such materials to you for any reason. You shall not be entitled to a reduction in price or any other offset as a result of delays in supply, late shipment, delays in transit, loss in transit or failure to deliver in estimated time of delivery or in the event that you choose, or are requested by MedPrep, to collect paper-based course materials from a location designated by MedPrep. It is your responsibility to notify MedPrep if you have not received Home-Study Course materials or online access to Virtual Live Courses, or notices confirming Virtual Live Course enrolment or Home-Study Course purchase.

Tuition rates and other fees for all of MedPrep’s Virtual Live and Home-Study Courses are described and elaborated at www.medprepinternational.com. Tuition rates and other fees are subject to change at any time and without notice or consultation. Tuition fees represent all basic institutional charges and include all online instruction, textual course materials, practice tests and solutions included in the respective courses, and credit card processing charges associated with the fulfillment of your enrollment and/or purchase. Tuition fees do not include postage and handling. You must promptly pay MedPrep the bank service fee for any credit card payment made to MedPrep by you, or for you, that is not honoured or overturned by you or the corresponding bank or financial institution for any reason. You will be liable for and, required to reimburse MedPrep, all expenses associated with the recovery of an outstanding debt that is in default for any reason.

MedPrep reserves the right to refuse or cancel any Virtual Live Course enrollment or any order of Home-Study Courses, for any reason. MedPrep may withhold online access or shipping of an order pending clearance of your credit card with MedPrep’s financial institution. Problems identified by MedPrep’s Credit and Fraud Avoidance department may result in an enrollment or order being cancelled. MedPrep may also require additional verification or information before accepting any order or processing any enrollment. MedPrep will contact you if your enrolment or order is cancelled or if additional information is required to complete processing. MedPrep reserves the right to refuse you service if, in our opinion, you display disruptive, contentious, or dishonest behaviour during or prior to Virtual Live Course or Home-Study Course provision. In such an event, MedPrep will notify you and provide a refund of tuition fees only when applicable. Employees, agents or representatives of all other exam preparation companies and organisations are prohibited from enrolling for or otherwise accessing MedPrep’s Virtual Live Courses and from purchasing or otherwise acquiring MedPrep’s Home-Study Course materials.

You agree that the laws of California, U.S.A., shall govern this agreement and the supply of MedPrep’s courses, course materials, publications, intellectual property and resources and you agree that any litigation arising out of this agreement shall be commenced and remain in the state of California. You consent to the jurisdiction of the Californian courts even if your residence is in another jurisdiction whether inside or outside the U.S.A. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely resembles the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire Terms of Service Agreement between you and MedPrep International Inc. and is superseded by all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and MedPrep.

While MedPrep makes reasonable efforts to include accurate and up-to-date information in all content contained in MedPrep’s products and services, MedPrep makes no warranties or representations as to the accuracy of this content and assumes no liability or responsibility for any errors or omissions.

You acknowledge that MedPrep has no control over, and can accept no responsibility for, circumstances which are outside MedPrep’s control, including but not limited to:

• the policies regarding and responsiveness of outsourced technical support provider(s)
• the policies regarding and management of hosting of MedPrep’s website, email, and learning management system by outsourced provider{s).
• the policies and functionality of your internet browser, browser plug-in(s), and operating system development companies (such as Microsoft with respect to the changes they make to their software from time to time).

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS, MEDPREP AND  EACH OF ITS AFFILIATED COMPANIES, AND EACH OF THEIR RESPECTIVE PARTNERS, SUPPLIERS, LICENSORS, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS AND AGENTS, FROM ANY AND ALL CLAIMS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, TRADE DISPARAGEMENT, PRIVACY AND INTELLECTUAL PROPERTY INFRINGEMENT) AND DAMAGES (INCLUDING ATTORNEYS' FEES AND COURT COSTS) ARISING FROM OR RELATING TO ANY ALLEGATION REGARDING YOUR USE OF MEDPREP’S PRODUCTS AND SERVICES.

GAMSAT is trademark owned by the Australian Council for Educational Research (ACER) which is not affiliated with MedPrep International inc.

MedPrep may vary this agreement at any time by providing you with a notice of variation. By continuing to use our services after receiving such notice, you agree to be bound by such variation.

Refunds

MedPrep provides no refunds upon your completed purchase of Virtual Live Course(s). All sales are final. It is your responsibility to survey MedPrep’s website at www.medprepinternational.com to determine if MedPrep’s Virtual Live Course(s) are suitable for you and compatible with your computer, browser, internet access, modem speeds, and other relevant technical specifications prior to purchase.

MedPrep's Right to Cancel

MedPrep reserves the right to cancel any or all of its Virtual Live Courses for any reason prior to commencement or during administration. In this event, you may choose to attend another such MedPrep Virtual Live Course, if available, or to receive a full refund of tuition fees paid. In addition, to receive a tuition fee refund following cancellation you must email MedPrep at customercare@medprepinternational.com  a written notice (within 5 business days of the corresponding Virtual Live Course cancellation) stating your intention to cancel your enrollment rather than attend another such Virtual Live Course. In all cases of approved refunds, MedPrep shall electronically transfer equivalent funds to your nominated bank account within 60 business days following the date upon which written notice of cancellation of enrollment has been received. In addition, MedPrep reserves the right to postpone, alter, or reschedule any of its Virtual Live Courses at any time and for any reason and will not be held responsible for any related loss or inconvenience.

Membership

If you become a free or paid Member (user of any of MedPrep’s otherwise restricted-access online products and services), you accept responsibility for all activities that occur under your account or password, and agree not to sell, transfer or reassign your Membership or any Membership rights. MedPrep reserves the right to terminate your Membership at any time, particularly if persons from more than one household access MedPrep’s online products and services using any single user name or password. You are responsible for maintaining the confidentiality of your password and for restricting access to your computer so persons outside your household may not access MedPrep’s online products and services using your user name or password without MedPrep’s written permission. If you believe that a person outside your household has accessed MedPrep’s online products and services using your user name and password, e-mail MedPrep immediately at customercare@medprepinternational.com.

Technical Support

MedPrep’s outsourced technical support provider will accept technical support requests via the Support Request Form only. The provider will normally respond to a support request within 1 business day where a response means that the provider will seek to resolve the problem, either by email or telephone. Technical Support business hours are 9 am to 5 pm Monday to Friday in Sydney, New South Wales, Australia. Servers are normally available 99.9% of the time and are monitored 24/7. Technical support is only available to MedPrep members or those attempting to become members. Technical support is strictly limited to access and use of the MedPrep website and online courses on systems which meet the Computer & Technical Specifications for End Users described below. We cannot provide technical support for your hardware, software or Internet connection.

• There will be no video used. MP3 audio will be used in course samplers and audio lectures. Speakers/headphones required.

• Adobe Acrobat Reader

JavaScript and Cookies

• JavaScript must be enabled
• Cookies will be used to store information about site users and will be required for full site functionality

Internet Access & Connection Speeds

• Internet access is required to access MedPrep’s website and Learning Management System. Some adjustments to firewalls and proxy servers may be required.
• A minimum modem connection speed of a standard 56.6 baud modem will be required. The system will be more responsive with a broadband connection.

Refunds & Returns

MedPrep provides no refunds upon your completed purchase of Home-Study Course(s). All sales are final unless a Home-Study Course is received by you in damaged or defective condition. Written and signed notification by you detailing damage and/or defect must be emailed to MedPrep at www.medprepinternational.com (within 5 days of your receipt of course materials) to arrange the exchange of damaged and/or defective Home-Study Course component(s) for corresponding undamaged or defect-free component(s). You shall pay all postage and handling costs for the return of damaged and/or defective Home-Study Course component(s) to MedPrep and for the postage and handling of the corresponding replacement component(s) by MedPrep to you. MedPrep will not issue a replacement for a damaged and/or defective Home-Study Course, or the component(s) thereof, until such component(s) have been received and inspected by MedPrep.

This agreement is a legally binding instrument when accepted by you and accepted by MedPrep International.

Your acceptance certifies that  you have read, understood, and agreed to your rights and responsibilities, and that MedPrep’s policies on copyright, accuracy and relevance, enrollments, purchases and shipping, tuition rates and other fees, right of refusal, jurisdiction and governing law, general disclaimer and limitation of liability, specific disclaimer of responsibility, indemnity, trademarks, variation, membership, technical support, end-user computer and technical specifications, cancellation, and refunds and returns have been understood by you.
