User Agreement

Please read this User Agreement carefully, because by visiting or otherwise using the MedPrep International website (“the Site” or “this Site”), you agree to follow its rules. From time to time MedPrep International (“we”, “our”, or “us”) may modify these rules. When we do, we will also revise the "last updated" date at the bottom of this User Agreement. Your continued use of this Site after any such modification indicates your agreement to the new rules.

You acknowledge and represent that all personal information that you provide us for the purposes of reserving, registering for, enrolling in, ordering or purchasing MedPrep International’s products and/or services via this Site will be accurate, complete and current. You understand and acknowledge that MedPrep International reserves the right to withdraw any offer made to you to reserve, register for, enrol in, order or purchase products and services via this Site at any time without notice.

In using this Site, you acknowledge and represent that you are not intending or undertaking to transmit or otherwise incorporate any malicious computer code (viruses, etc.) which could be destructive or inventive of data, programming or content native to this Site.

The information contained on this Site is provided in good faith. MedPrep International has made every reasonable effort to ensure that the information contained in this Site was accurate, correct and current at the time the relevant page or downloadable document was created, modified and published. MedPrep International provides no warranty and accepts no responsibility or liability for any inaccuracy, mistake, amendment, or omission contained in this Site. Accordingly, all MedPrep International and third party information is provided "as is". We reserve the right to make changes without notice as we deem appropriate.

Copyright on this Site, and all materials included in it, is owned by or licensed to MedPrep International, and all rights are reserved. You must abide by all copyright notices and restrictions contained on this Site. You may not copy, distribute, enter into a database, display, perform, create derivative works of, transmit, or otherwise use any materials from this Site (including computer programs or other code), unless we have specifically and expressly authorized you to do so (for instance, in the case of downloadable PDF files) and then only for personal, non-commercial use, and only if you do not alter the text or remove any trademark, copyright, or other notice displayed on the Site or the materials contained therein.

The “MedPrep International” and the MedPrep stylised “M” logos on this Site are trademarks owned by MedPrep International. You may not use MedPrep International’s trademarks in connection with any product or service that does not belong to us, or in any manner that is likely to cause confusion among users about whether we are the source, sponsor, or endorser of the product or service, or in any manner that disparages or discredits us.

This Site may contain links to other web sites, including sites for other MedPrep International companies. This User Agreement does not apply to these other web sites. Be sure to read the user agreements that govern your use of these other web sites. MedPrep International does not control and is not responsible for the contents, claims or operations of web sites with which this Site may link. MedPrep International’s inclusion of links to other web sites does not imply any endorsement of the material on such sites or any association with their operators.

You may link to the home page of this Site so long as the link does not cast us in a false or misleading light. You may not frame the content of this Site. You may not use metatags or any other "hidden text" that incorporates MedPrep International’s trademarks or our name without our express written consent.

If this Site contains bulletin boards, chat rooms, or other message or collective communication facilities ("Forums"), you shall not attempt or undertake to:

• Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

• Publish, post, distribute, or disseminate any defamatory, obscene, indecent, or unlawful material or information.

• Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.

• Upload files that contain viruses, corrupted information, or any other destructive software or programs that may damage the operation of another's computer.

• Delete any author attributions, legal notices, or proprietary designations or labels in any file that is uploaded.

• Falsify the origin or source of software or other material contained in a file that is uploaded.

• Advertise or offer to sell any goods or services or conduct or forward surveys, contests, or chain letters.

• Download any file posted by another user of a Forum that you know, or reasonably suspect, cannot be legally distributed in such manner.

You acknowledge that, at MedPrep International’s discretion, Forums may have open or restricted entry regarding participation by users. We reserve the right to deny any user or visitor access to Forums on this Site for any reason and to discontinue any forum without notice. Further, you acknowledge that while the contents of chats, postings, conferences, and other communications by users are not endorsed by MedPrep International, such communications may be reviewed, screened, voided, deleted or otherwise censored by MedPrep International.

Any software that is made available to download from this Site ("Software") is the copyrighted work of MedPrep International and/or its suppliers. Your use of the Software is governed by the terms and conditions of the end user license agreement that accompanies the Software ("License Agreement"). You may not install, copy or otherwise use any Software that is accompanied by a License Agreement unless you first agree to the terms and conditions therein. Upon download, you may not reverse engineer, decompile or disassemble the Software. Copying or reproducing the Software to any other server or location for further reproduction or redistribution is expressly prohibited.  The Software is under warrantee, if at all, only according to the terms of the license agreement. You acknowledge that the Software and any accompanying documentation and/or technical information are subject to applicable export control laws and regulations of the United States of America. You agree not to export or re-export the Software

This Site and the information, contents, graphics, documents and other elements included herein (collectively the “contents”) are provided on an “as is” basis with all faults and without any warranty of any kind. MedPrep International hereby disclaims all warranties and conditions with regard to the Site contents, including without limitation, all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement except as may be expressly stated on this Site. Neither MedPrep International nor any of its officers, directors, shareholders, employees, contractors or other authorised representatives shall be liable for any damages arising out of or in connection with the use or performance of this Site, or the information or contents available from this Site. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. The contents of this Site could include technical inaccuracies or typographical errors. Changes are periodically made to the contents of this Site. MedPrep International may make improvements, deletions, changes or other modifications to this Site, the contents hereof, and the products and services and any downloads or software described herein at any time without notice.

You agree that the laws of the State of California, U.S.A., shall govern all contracts and agreements between you and MedPrep International including, but not limited to, this Users Agreement and MedPrep International’s Terms and Conditions of trade (revealed to would-be customers prior to completed purchases). You submit that any litigation arising out of this Users Agreement and MedPrep International's Terms and Conditions of trade shall be commenced and remain exclusively in the State California, U.S.A. To adjudicate any such litigation, you consent to the exclusive jurisdiction of the Californian courts even if you reside in another country, state or territory and even if you would not otherwise be subject to such jurisdiction. Moreover, you agree to submit to the exclusive jurisdiction of the state and federal courts sitting in the State of California and waive any jurisdictional, venue, or inconvenient forum objections to such courts. You also agree that the invalidity of any clause, or part of any clause, of this Users Agreement or MedPrep International’s Terms and Conditions of trade, if so held by a Californian court, shall not affect any other clause or part of a clause. If any part of this User Agreement or MedPrep International’s Terms and Conditions of trade are determined to be invalid or unenforceable pursuant to applicable Californian law including, but not limited to, the disclaimers and liability limitations set forth above, then the invalid or unenforceable provision(s) will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.                                                 .

This User Agreement constitutes the entire agreement between the user and MedPrep International with respect to this Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and MedPrep International with respect this Site.

MedPrep International reserves the right to modify or suspend this Site or terminate this User Agreement at any time without notice for any reason, including, in the case of the User Agreement, for your violation of any of its provisions. The “Disclaimer and Limitation of Liability” and “Personal Jurisdiction and Governing Law” sections of this User Agreement shall survive any such modification or termination.
